Merchant Terms & Conditions

1. Acceptance of the Terms
By creating a merchant account or using Alya Pay's services, you agree to be bound by these Merchant Terms & Conditions. If you do not agree to these terms, you must not register or use the Alya Pay merchant platform.
2. Merchant Eligibility
To register as a merchant on the Alya Pay platform, you must:
- Be a legally incorporated and operating entity in Morocco;
- Provide accurate, complete, and up-to-date registration information;
- Hold the authority to represent the business and enter into this agreement on its behalf;
- Maintain and promptly update your information should any change occur.
3. Merchant Account
You are responsible for:
- Maintaining the security and confidentiality of your login credentials;
- All activity carried out under your merchant account;
- Promptly notifying Alya Pay in the event of any unauthorized access or suspected breach of your account;
- Ensuring that all account information remains accurate and up to date at all times.
Alya Pay cannot be held liable for any loss or damage arising from your failure to comply with these obligations.
4. Merchant Obligations
As a merchant on the Alya Pay platform, you commit to:
- Selling only lawful products and services permitted under Moroccan law;
- Providing accurate, complete, and non-misleading product and pricing information;
- Honoring all customer orders placed through the Alya Pay platform;
- Cooperating fully with Alya Pay in any fraud investigation or dispute resolution process;
- Complying at all times with applicable Moroccan laws, regulations, and regulatory requirements;
- Not attempting to circumvent, bypass, or replicate Alya Pay's services, payment flows, or platform features.
5. BNPL Transactions
The following rules apply to all Buy Now, Pay Later (BNPL) transactions processed through Alya Pay:
- The decision to approve or decline financing for any customer is made solely by Alya Pay at its discretion;
- Merchants must not represent, promise, or imply to customers that financing approval is guaranteed before Alya Pay has confirmed it;
- Merchants must follow Alya Pay's operational procedures and integration guidelines for processing BNPL transactions;
- Alya Pay reserves the right to decline any transaction without being required to provide a reason.
6. Payments & Settlements
Settlements are processed in accordance with the commercial agreement entered into between Alya Pay and the merchant. Settlements are subject to deductions for applicable fees, refunds, and any other adjustments as set out in that agreement. Merchants must maintain a valid bank account (RIB/IBAN) in the name of the registered legal entity and promptly notify Alya Pay of any change to banking details.
7. Refunds & Cancellations
Merchants are responsible for initiating refund requests through the Alya Pay merchant dashboard in accordance with Alya Pay's refund procedures. Approved refunds will be deducted from future settlements or recovered through another method as determined by Alya Pay. Merchants must process refund requests promptly and may not unreasonably refuse a valid refund.
8. Fraud Prevention
Alya Pay actively monitors transactions to protect the integrity of the platform. Alya Pay reserves the right to:
- Review and flag transactions suspected of fraud or misuse;
- Temporarily suspend merchant account activity pending investigation;
- Request additional documentation or information from the merchant;
- Permanently block or terminate accounts where fraudulent activity is confirmed.
Merchants must cooperate fully with any fraud investigation and provide requested documentation within the timeframe specified by Alya Pay.
9. Suspension & Termination
Alya Pay may suspend or permanently terminate a merchant's access to the platform in the event of:
- Fraud, misrepresentation, or provision of false information;
- Material violation of these Terms & Conditions;
- Activity that poses a risk to customers, Alya Pay, or third parties;
- Non-compliance with applicable Moroccan law or regulatory requirements;
- A request or order from a competent regulatory authority.
In such cases, Alya Pay will notify the merchant where legally permitted to do so. Pending settlements may be withheld during an investigation and may be forfeited in the event of confirmed fraud.
10. Intellectual Property
The Alya Pay platform, including its software, interfaces, branding, and documentation, is and remains the exclusive property of Alya Pay. Merchants are granted a limited, non-exclusive, non-transferable right to access and use the platform solely for the purposes set out in these Terms. No intellectual property rights are transferred to the merchant under this agreement. Merchants must not copy, reproduce, modify, or distribute any part of the platform without prior written authorization from Alya Pay.
11. Limitation of Liability
Alya Pay does not guarantee uninterrupted, error-free access to the platform. To the maximum extent permitted by applicable Moroccan law, Alya Pay shall not be liable for any indirect, incidental, or consequential damages arising from the use of, or inability to use, the platform. Nothing in these Terms limits Alya Pay's liability in cases where such limitation is prohibited by law.
12. Changes to the Terms
Alya Pay reserves the right to update these Terms & Conditions at any time. Merchants will be notified of material changes via the platform or by email. Continued use of the platform following notification constitutes acceptance of the updated terms.
13. Governing Law
These Terms & Conditions are governed by the laws of the Kingdom of Morocco. Any dispute arising from or in connection with these Terms shall be submitted to the competent courts of [city], Morocco, unless otherwise required by applicable law or regulation.
